Terms and Conditions

By submitting the above enrollment application you agree to offer Fun in the Sun cardholders the discount described above and the following terms and conditions: 

TERM AND TERMINATION: This agreement shall continue in effect for one year following the acceptance of your business in the EXPERIENCES program and you agree to honor the above described discount to any persons presenting a EXPERIENCES card during such period agreed upon by you and Hilton Grand Vacations.  Hilton Grand Vacations (HGV) may terminate this Agreement at any time for any reason by giving written notice of such termination.  

ADVERTISING: Subject to the provisions below, (HGV) shall have the right to include references to your business in any Advertising (as defined below) generally relating to the goods, products or services offered by your business pursuant to the Fun in the Sun program as provided or approved by you from time to time.
  
MARKS: You agree and acknowledge that to satisfactorily operate the EXPERIENCES program, HGV may need to use certain service marks, trademarks, logos and trade names owned by you or your business (collectively, the "Mark(s)") and you hereby grant HRC a royalty-free, nontransferable, nonexclusive right to use such Marks solely in promotion of the Fun in the Sun program.  

You agree not to use the Hilton name, or any variation thereof, or other logotypes, trademarks, service marks, trade names or other intellectual property now or hereafter used by Hilton or its affiliates, subsidiaries, hotels or their owners, and shall not use any "metatags", "scumware", "spyware", search word preference or any other services that results in your business being referenced in regard to Internet searches for such marks, attracts Internet users to its website, call centers or other services, or otherwise use any such marks, directly or indirectly, in any way in connection with any of your business or operations without the prior written approval of Hilton and, in the event of such approval, only in the manner and at such times as shall be prescribed in such approval.

INSURANCE: You agree that your business shall maintains or shall cause to be maintained at its own expense during the term hereof policies of insurance of the types and in amounts no less than: 1. Commercial General Liability (including contractual and products liability): $1,000,000 per occurrence, and 2. Workers' Compensation and Employer's Liability: a) Workers' Compensation: Statutory Limits	b) Employer's Liability: $100,000, Each accident  $100,000 Disease - policy limit,  $100,000 Disease - each employee. You shall provide certificates or memoranda of insurance upon request of HGV.

FEES & EXPENSES: You shall be solely responsible for out-of-pocket expenses incurred in connection with any discounts offered or particiaption in the Fun in the Sun program.

REPRESENTATIONS AND WARRANTIES: You represent and warrant that you have the full power and authority to enter into this agreement and carry out and perform the obligations under these terms and conditions. You further represent and warrant that in operating your business you maintain and shall cause to be maintained all licenses, inspections and qualifications to operate your business.  You further agree to comply with all applicable laws, codes, regulations, ordinances and rules with respect to the operation of your business. 

CONFIDENTIALITY: In the event you have acess to any information identified by HGV as confidential or such information that HGV considers or you should consider as confidential, you agree to treat such information as proprietary to Hilton Grand Vacations and confidential and not to use or disclose such information for your own benefit or that of any third party.

INDEMNIFICATION:  You agree to defend, indemnify and hold HGV, its affiliated and related entities, and any of their officers, directors, agents and employees, harmless from and against any claims, lawsuits, investigations, penalties, damages, losses or expenses (including but not limited to attorney's fees and costs) arising out of or relating to any of the following: (a) any breach or alleged breach by your of the terms and conditions herein or (b) any claim arising out of or relating to the products and services provided by your business, including but not limited to, any claims for false advertising, product defects, personal injury, death, or property damages. 

MISCELLANEOUS: If any phrase, clause or provisions of these terms and conditions is declared invalid or unenforceable by a court or arbitrator of competent jurisdiction, such phrase, clause or provision shall be deemed severed, but will not affect any other provision of these terms and conditions, which shall otherwise remain in full force and effect.  The prevailing party in any litigation relating to these terms and conditions shall be entitled to recover its reasonable attorney's fees, costs and disbursements in any action brought to enforce or interpret these terms and conditions.  If any restriction or limitation in these terms and conditions is deemed to be unreasonable, onerous or unduly restrictive by a court or arbitrator of competent jurisdiction, it shall not be stricken in its entirety and held totally void and unenforceable, but shall remain effective to the maximum extent permissible within reasonable bounds.  Any provisions hereof which must survive expiration or termination in order to be fully operative shall survive the expiration or termination of your particiaption the Fun in the Sun program.

ENTIRETY OF AGREEMENT AND MODIFICATION: These terms and conditions contain the full and complete understanding of the parties hereto as to the subjects contained herein and supersedes any and all prior written or oral agreements or understandings between the parties hereto.  In the event of any conflict between the terms of these terms and conditions and the terms of any attachments, proposals, specifications, invoices, purchase orders, or any other documents or correspondence, these terms and conditions shall prevail.  These terms and conditiosn may not be modified except by a subsequent writing executed by duly-authorized officers of both parties hereto which expressly states that it is a modification of these terms and conditions. 

GOVERNING LAW: This terms and conditions will be governed by and interpreted pursuant to the internal laws of the State of Florida, excluding any laws regarding the choice or conflict of laws.
